Terms of Service

1. About These Terms

These Terms govern access to Localeway, a collaborative service for managing, translating, proofreading and exporting software and game localization content (the "Service"). Localeway is operated byGaëtan Dezeiraud, an individual entrepreneur registered under SIREN 820 609 535. By creating an account or using the Service, you agree to these Terms.

2. Accounts and Workspaces

• You must provide accurate account information and keep your credentials secure.
• You are responsible for activity carried out through your account.
• Workspace owners control member invitations, roles and access to workspace content.
• You must notify us promptly if you believe an account has been compromised.

3. Subscriptions and Payment

• Available plans, limits and billing periods are shown before checkout.
• Paid subscriptions renew for the selected billing period until cancelled.
• Paddle is the merchant of record and seller for paid transactions. Paddle handles checkout, payment, invoicing, applicable taxes and payment-related refunds.
• Displayed prices exclude tax unless stated otherwise. Paddle calculates and collects any applicable VAT or sales tax at checkout.
• You may cancel renewal through the subscription management interface. Cancellation takes effect at the end of the current paid period unless mandatory law or Paddle's buyer terms require otherwise.
• Refund requests are governed by our Refund Policy, Paddle's buyer terms and any mandatory rights that apply to you.

4. Your Translation Content

"Your Content" means strings, translations, keys, glossaries, product descriptions, notes, files and other material submitted by you or your workspace members. You retain ownership of Your Content.

You grant us a limited right to host, copy, process and transmit Your Content only as needed to operate, secure and support the Service and to perform actions requested by workspace members.

You are responsible for ensuring that you have the rights required to upload, translate and distribute Your Content. The Service is intended for localization content and should not be used as a repository for sensitive personal data.

5. AI-Assisted Features

• AI features use the provider and API key configured by you or your workspace.
• Relevant strings, context, notes, product descriptions and glossary terms may be sent to that provider when an AI feature is invoked.
• Your use of the provider is governed by your agreement with it, including its pricing and data terms.
• Machine-generated translations and suggestions may be inaccurate or unsuitable. You are responsible for reviewing them before publication.

6. Acceptable Use

You must not use the Service to:

• Break the law or infringe another person's rights
• Upload malicious code or attempt unauthorized access
• Interfere with the Service or circumvent plan limits or security controls
• Send spam or abusive communications
• Copy, resell or reverse engineer the Service except where applicable law expressly permits it

7. Service Availability and Changes

We work to keep the Service available and reliable, but do not promise uninterrupted or error-free operation. We may change or discontinue features where reasonably necessary. When a material change adversely affects a paid subscription, we will provide reasonable notice where practicable.

8. Suspension and Termination

We may restrict or suspend access where reasonably necessary to address a security risk, non-payment, unlawful activity or a material breach of these Terms. We will provide notice and an opportunity to remedy the issue when the circumstances allow it.

You may close your account or cancel a paid subscription through the available account and subscription controls. Export any content you need before the account or workspace is deleted.

9. Intellectual Property

The Service, its interface, software and branding are owned by Localeway or its licensors. These Terms do not transfer ownership of the Service to you. They also do not transfer ownership of Your Content to us.

10. Liability

You are responsible for reviewing translations and exports before using them in production. To the extent permitted by law, we are not liable for indirect losses, lost profits or losses caused by an AI provider or another third-party service outside our reasonable control.

To the extent permitted by law, our aggregate liability arising from the Service is limited to the amount paid for the Service during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability or rights that cannot legally be excluded or limited.

11. Privacy

Our Privacy Policy explains how personal data is processed. If a business customer submits personal data in translation content on behalf of others, the parties may need a separate data processing agreement.

12. Governing Law and Disputes

These Terms are governed by French law. The competent courts will be determined under applicable law. Consumers retain any mandatory protections and rights available in their country of residence.

13. Changes and Contact

We may update these Terms as the Service changes. We will give reasonable notice of material changes where appropriate. Changes do not retroactively remove rights already acquired under a paid subscription.
